Acceptance of Terms
These Terms and Conditions of Sale (“Terms”) apply to all quotations, sales orders, order acknowledgments, invoices, custom developments, website orders, and purchases from Taffard Fabrics (“Taffard”). Payment of a deposit, approval of a sales order, issuance of a purchase order, written authorization to proceed, placement of an order through this website, or acceptance of merchandise constitutes acceptance of these Terms in full.
TAFFARD’S TERMS AND CONDITIONS TAKE PRECEDENCE OVER AND SUPERSEDE ALL OTHER TERMS AND CONDITIONS, INCLUDING ANY TERMS CONTAINED IN THE PURCHASER’S PURCHASE ORDER OR OTHER DOCUMENTS, REGARDLESS OF WHEN SUCH TERMS WERE PRESENTED. Any conflicting, additional, or different terms are expressly rejected and shall have no force or effect. No modification of these Terms is binding unless made in writing and signed by an authorized representative of Taffard.
The suitability of any fabric for a particular use is entirely at the discretion of the purchaser.
Pricing
All prices are net, FOB Yonkers, New York (unless otherwise noted), and do not include freight, shipping, handling, duties, tariffs, taxes, treatments, testing, or other applicable charges unless specifically included in the quotation or sales order. Prices are subject to change without notice. Pricing and availability should be reconfirmed prior to placing an order. In the event of a pricing error on this website or in a quotation, Taffard reserves the right to cancel the affected order and refund any payment received.
Payment Terms
Full payment, including shipping and any miscellaneous itemized charges, is required prior to shipment unless approved credit terms have been established. Approved credit accounts are net thirty (30) days from invoice date. Custom and made-to-order products require a 50% non-refundable deposit to begin production, with the balance due prior to shipment or as stated on the sales order. Production will not begin until all required deposits, approvals, and information have been received.
A service charge of 1.5% per month (or the maximum rate permitted by law, if lower) will be applied to balances not paid within terms. Taffard may place any account on proforma (advance payment) terms at its discretion and may suspend shipments on accounts with past-due balances. If an account is placed for collection, the purchaser is responsible for all costs of collection, including reasonable attorneys’ fees.
Ordering
A written purchase order or written authorization is required for all orders. Verbal or telephone orders must be confirmed in writing. Orders are subject to Taffard’s acceptance and will be confirmed by a written order acknowledgment, which is final and binding. Orders placed through this website constitute an offer to purchase and are accepted only upon Taffard’s written confirmation; Taffard may decline or cancel any order, including for stock unavailability, with a refund of any payment received.
All orders must include catalog number, fabric name, color, and quantity. Cut lengths must be specified for window fabrics and wallcoverings, and face or back must be specified for reversible fabrics. Fabric is sold in multiples of ¼ yard, with a minimum cut of two (2) yards per item unless otherwise noted. A cut fee of $25.00 applies to orders of less than two (2) yards.
Customers are responsible for reviewing all order acknowledgments for accuracy, including item, color, quantity, width, treatment, shipping information, and other specifications. Any discrepancies must be reported immediately. Taffard shall have no liability for errors, omissions, or incomplete information in the purchaser’s quotation or order. Orders may only be changed prior to shipment or production by written request, subject to Taffard’s approval, and may incur additional material, labor, or administrative charges and extended lead times.
Reserves
Stock reserves may be placed for up to two (2) weeks unless otherwise agreed in writing, after which they will automatically expire. Reserves are subject to availability and are not confirmed orders. Reserves cannot be placed on incoming production.
Memo Samples & Cuttings for Approval (CFA)
Memo samples are available upon request and remain the property of Taffard. Memos should be returned within thirty (30) days; unreturned memos may be invoiced.
Cuttings for approval (CFA) are available before authorization is given to ship. When requesting a CFA, please state the yardage required so that an appropriate piece may be assigned. Written approval is required for all CFAs. For projects requiring close color matching, a current CFA, strike-off, or other physical approval should always be requested. No return of merchandise for color variation will be accepted if a CFA has been waived. When shipping directly to a workroom, please request that a CFA be sent to the fabricator for identification purposes.
Lead Times & Delivery
All production, treatment, and delivery dates are estimates only and are not guaranteed. Lead times may be affected by raw material availability, custom dyeing, weaving, embroidery, handwork, treatments, inspections, freight availability, customs clearance, weather, holidays, and other circumstances outside Taffard’s reasonable control, including acts of God, labor disputes, government action, or supply chain disruption. Delays do not entitle the purchaser to cancel an order or claim damages.
Taffard is not responsible for project delays, installation delays, expedited labor, storage, lost revenue, or other costs resulting from changes to estimated dates. Customers should advise Taffard of critical project or installation dates before placing an order so that feasibility can be reviewed.
Shipping, Title & Risk of Loss
All goods ship FOB Taffard’s facility, Yonkers, NY, at the purchaser’s risk and expense. Title and risk of loss pass to the purchaser upon tender of goods to the carrier. Complete shipping instructions, including carrier and routing, must be provided at the time of order; if none are specified, Taffard will select an appropriate carrier. Taffard is not responsible for carrier delays, customs delays, loss, damage, or other circumstances occurring after goods have been released to the carrier. Damage in transit must be noted on the delivery receipt and reported to the carrier and to Taffard immediately; original packaging must be retained for inspection.
Taffard reserves the right to make partial shipments as product becomes available. Invoices for partial shipments are due per the agreed payment terms. Cut lengths and roll sizes are approximate and may vary due to mill allowances, inspection requirements, or defect removal. Completed orders held at the purchaser’s request for more than sixty (60) days may be invoiced and subject to storage charges.
Inspection & Claims
All material must be inspected upon receipt and before cutting, fabrication, treatment, installation, or other processing. The purchaser and/or fabricator is responsible for comparing delivered material against the approved sample, CFA, strike-off, or other applicable reference before fabrication.
Claims for visible defects, incorrect color, quantity, damage, or other discrepancies must be submitted to Taffard in writing within fourteen (14) days of receipt and before the material has been cut, treated, fabricated, upholstered, installed, or otherwise altered. Cutting, fabrication, treatment, or installation constitutes acceptance of the material. Failure to submit a timely written claim constitutes acceptance of the merchandise and a waiver of any such claim.
Taffard’s liability for an approved claim is limited to the value of the material supplied by Taffard. Taffard is not responsible for fabrication, upholstery, installation, removal, replacement labor, expedited labor, loss of use, project delays, or any other costs beyond those billed directly by Taffard.
Returns
No merchandise may be returned without prior written authorization from Taffard. Unauthorized returns will not be accepted. Approved returns must be accompanied by a Return Goods Authorization (RGA), shipped prepaid to Taffard’s facility, and received uncut and in original, perfect condition within fourteen (14) days of authorization. Approved returns are subject to a handling and restocking charge of up to twenty-five percent (25%) of the net merchandise value plus applicable freight.
The following are not returnable under any circumstances: fabric pieces under ten (10) yards; cut, treated, backed, finished, or otherwise altered merchandise; custom, made-to-order, or specially ordered merchandise; discontinued items; and any merchandise for which a CFA was waived.
Cancellations
Orders may not be canceled without Taffard’s written consent. Canceled stock orders may be subject to a cancellation charge of up to twenty-five percent (25%) of the total order value plus any applicable restocking, freight, or handling charges. Custom, made-to-order, treated, cut, or otherwise altered merchandise cannot be canceled once processing or production has begun. Orders requiring a deposit for which payment has been received are non-cancelable, and deposits are non-refundable.
Quality, Color & Natural Variation
Fabric is not guaranteed against fading, wear, shrinkage, dimensional change, or other physical changes in appearance. Textiles are subject to normal variations in color, texture, weave, yarn, weight, width, repeat, finish, and appearance. Production may vary from showroom samples, memos, strike-offs, CFAs, previous orders, and digital images due to differences in dye lots, yarn lots, fibers, and manufacturing processes. Color variation within Joint Industry Fabric Standards guidelines is not considered a defect. All weights, widths, repeats, and dimensions are approximate.
Certain characteristics — including slubs, knots, natural fiber variations, darker fibers in light shades, and slight irregularities — are inherent qualities of the material and are not considered defects. Computer screens, photographs, and digital renderings should not be considered exact representations of color. Professional dry-cleaning is recommended unless otherwise noted.
Pile & Velvet Fabrics
Velvets, chenilles, plush fabrics, and other pile constructions have inherent characteristics that may affect appearance. Pile direction, pressure, folding, rolling, shipping, storage, fabrication, treatment, and use may result in shading, pile distortion, crushing, marking, or apparent color variation. These characteristics are not considered defects. Fabricators are responsible for confirming pile direction and orientation before cutting and fabrication.
Pattern Repeats & Yardage
Repeat sizes, where noted, are approximate, and printed or woven patterns are not guaranteed to be perfectly square on the cloth. Purchasers should verify pattern alignment before cutting, particularly for multiple-width draperies and matched upholstery. Sufficient additional yardage should be ordered to allow for pattern matching, working loss, and treatment shrinkage; Taffard is not responsible for yardage shortfalls resulting from the purchaser’s calculations.
Treatments: FR, Stain, Backing & Finishing
Taffard may coordinate third-party treatments including flame-retardant treatment, stain protection, backing, finishing, or other requested services. Shipping to the finisher and to the final destination is billed to the purchaser. Treatments may alter the original appearance, color, hand, texture, sheen, pile, drape, width, dimensional stability, or other characteristics of the fabric; this is particularly true for velvet, chenille, plush, pile, delicate, natural-fiber, and specialty constructions.
Third-party treatments requested or approved by the purchaser are performed at the purchaser’s risk. Taffard cannot guarantee that treated material will remain identical in appearance or performance to untreated material or to any reference sample, and is not responsible for variations resulting from such treatments. Where appropriate, Taffard may recommend or require treatment of a sample before full production; approval of a treated sample authorizes treatment of the production material but does not guarantee an exact match. Treated, backed, or finished goods are not returnable, and additional processing by any third party voids any applicable warranty.
Custom & Made-to-Order Products
Custom orders are accepted at Taffard’s discretion and require a written purchase order and a non-refundable fifty percent (50%) deposit before development or production begins. CADs, renderings, lab dips, strike-offs, CFAs, samples, or mock-ups may be required for approval, and production will not begin until required approvals are received in writing. Approval of a reference authorizes Taffard to proceed based on that approved reference. Because many custom products involve handwork, custom dyeing, embroidery, weaving, or printing, reasonable variation between approved samples and final production is expected.
Custom and made-to-order merchandise is non-cancelable and non-returnable once production has begun. All custom orders are subject to a production overage of up to ten percent (10%), which will be reflected on the final invoice; any anticipated variance outside normal industry tolerances will be communicated when applicable. Taffard retains reference cuttings for custom orders to evaluate conformity to specifications. The ability to reproduce a custom color or design in the future is not guaranteed and should be considered when calculating attic stock.
Testing & Performance
Testing information is based on tests performed on the specific construction and conditions represented by the applicable test report. Customers are responsible for determining whether a product meets the codes, performance requirements, and specifications applicable to their particular project and jurisdiction. Additional testing requested for a project may result in additional charges and lead time. Taffard fabrics are not intended for use in the manufacture of wearing apparel.
Care & Use
Customers and fabricators are responsible for following applicable care, cleaning, fabrication, installation, and maintenance recommendations. Taffard is not responsible for damage resulting from improper storage, fabrication, installation, cleaning, maintenance, or use, or from normal wear and tear.
Warranty & Exclusive Remedy
Taffard warrants that its products will meet satisfactory commercial standards for a period of three (3) years from the date of purchase when used and maintained under normal conditions. This warranty does not cover fading, wear, dimensional change, damage from misuse or improper care, or goods that have been treated, backed, or processed by others. In the event a product does not perform as specified, Taffard’s sole obligation and the purchaser’s exclusive remedy shall be, at Taffard’s option, replacement of the material or credit of the purchase price of the affected goods. Labor, installation, removal, and consequential costs are not covered.
EXCEPT AS EXPRESSLY STATED HEREIN, TAFFARD DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, TO THE MAXIMUM EXTENT PERMITTED BY LAW.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TAFFARD SHALL NOT BE LIABLE FOR ANY LOSS, DAMAGE, COST, EXPENSE, OR CLAIM OF ANY KIND WHATSOEVER ARISING OUT OF OR RELATED TO THE SALE, DELIVERY, USE, OR NON-DELIVERY OF GOODS, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE OR STRICT LIABILITY), STATUTE, OR ANY OTHER LEGAL OR EQUITABLE THEORY.
Without limiting the foregoing, Taffard’s total liability for any approved claim shall in no event exceed the purchase price of the affected merchandise supplied by Taffard. IN NO EVENT SHALL TAFFARD BE LIABLE FOR FABRICATION CHARGES, INSTALLATION OR REMOVAL COSTS, TREATMENTS PERFORMED AFTER DELIVERY, REPLACEMENT LABOR, EXPEDITED FREIGHT, STORAGE, PENALTIES, LOST PROFITS, LOSS OF USE, PROJECT DELAYS, OR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. The purchaser acknowledges that Taffard’s pricing reflects this allocation of risk and that these limitations are an essential part of the agreement between the parties.
Intellectual Property
All Taffard designs, artwork, CADs, renderings, patterns, colorways, samples, and other proprietary materials are copyrighted and remain the sole property of Taffard or their respective rights holders. Unauthorized reproduction or use is prohibited. Custom development for a client does not transfer ownership or reproduction rights unless otherwise agreed in writing.
The purchaser shall indemnify, defend, and hold harmless Taffard from any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from any allegation that designs, patterns, artwork, specifications, or instructions provided or approved by the purchaser infringe the intellectual property rights of any third party.
Taxes & Resale Certificates
The purchaser is responsible for all applicable sales, use, and other taxes. Taffard is required to collect sales tax in jurisdictions where it is registered unless a valid resale or exemption certificate is on file. Purchasers claiming tax-exempt status must provide a current, valid certificate before shipment; Taffard does not warrant the validity of any certificate provided.
Website Use
All products and content on the Taffard website are provided “as is.” Taffard makes no warranties regarding website availability, or the accuracy or completeness of online content, pricing, or inventory. Color representations on the website may vary based on monitor settings and are not guaranteed to be accurate. Website content, images, and designs may not be reproduced, distributed, or used for commercial purposes without Taffard’s prior written permission. Use of this website is also subject to Taffard’s Privacy Policy.
Governing Law & Disputes
These Terms shall be governed by and construed in accordance with the laws of the State of New York, excluding its conflicts of law principles. The parties consent to exclusive jurisdiction and venue in the state and federal courts located in New York County, New York. In any action to enforce these Terms or collect amounts due, Taffard shall be entitled to recover its reasonable attorneys’ fees and costs.
General Provisions
These Terms, together with the applicable quotation, order acknowledgment, and invoice, constitute the entire agreement between the parties and supersede all prior agreements, correspondence, and understandings with respect to their subject matter. If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Taffard’s failure to enforce any provision shall not be construed as a waiver of that provision or any other. Taffard reserves the right to revise these Terms at any time without prior notice; orders are governed by the Terms in effect at the time the order is accepted.

Pattern Repeats & Yardage
Repeat sizes, where noted, are approximate, and printed or woven patterns are not guaranteed to be perfectly square on the cloth. Purchasers should verify pattern alignment before cutting, particularly for multiple-width draperies and matched upholstery. Sufficient additional yardage should be ordered to allow for pattern matching, working loss, and treatment shrinkage; Taffard is not responsible for yardage shortfalls resulting from the purchaser’s calculations.
Treatments: FR, Stain, Backing & Finishing
Taffard may coordinate third-party treatments including flame-retardant treatment, stain protection, backing, finishing, or other requested services. Shipping to the finisher and to the final destination is billed to the purchaser. Treatments may alter the original appearance, color, hand, texture, sheen, pile, drape, width, dimensional stability, or other characteristics of the fabric; this is particularly true for velvet, chenille, plush, pile, delicate, natural-fiber, and specialty constructions.
Third-party treatments requested or approved by the purchaser are performed at the purchaser’s risk. Taffard cannot guarantee that treated material will remain identical in appearance or performance to untreated material or to any reference sample, and is not responsible for variations resulting from such treatments. Where appropriate, Taffard may recommend or require treatment of a sample before full production; approval of a treated sample authorizes treatment of the production material but does not guarantee an exact match. Treated, backed, or finished goods are not returnable, and additional processing by any third party voids any applicable warranty.
Custom & Made-to-Order Products
Custom orders are accepted at Taffard’s discretion and require a written purchase order and a non-refundable fifty percent (50%) deposit before development or production begins. CADs, renderings, lab dips, strike-offs, CFAs, samples, or mock-ups may be required for approval, and production will not begin until required approvals are received in writing. Approval of a reference authorizes Taffard to proceed based on that approved reference. Because many custom products involve handwork, custom dyeing, embroidery, weaving, or printing, reasonable variation between approved samples and final production is expected.
Custom and made-to-order merchandise is non-cancelable and non-returnable once production has begun. All custom orders are subject to a production overage of up to ten percent (10%), which will be reflected on the final invoice; any anticipated variance outside normal industry tolerances will be communicated when applicable. Taffard retains reference cuttings for custom orders to evaluate conformity to specifications. The ability to reproduce a custom color or design in the future is not guaranteed and should be considered when calculating attic stock.
Testing & Performance
Testing information is based on tests performed on the specific construction and conditions represented by the applicable test report. Customers are responsible for determining whether a product meets the codes, performance requirements, and specifications applicable to their particular project and jurisdiction. Additional testing requested for a project may result in additional charges and lead time. Taffard fabrics are not intended for use in the manufacture of wearing apparel.
Care & Use
Customers and fabricators are responsible for following applicable care, cleaning, fabrication, installation, and maintenance recommendations. Taffard is not responsible for damage resulting from improper storage, fabrication, installation, cleaning, maintenance, or use, or from normal wear and tear.
Warranty & Exclusive Remedy
Taffard warrants that its products will meet satisfactory commercial standards for a period of three (3) years from the date of purchase when used and maintained under normal conditions. This warranty does not cover fading, wear, dimensional change, damage from misuse or improper care, or goods that have been treated, backed, or processed by others. In the event a product does not perform as specified, Taffard’s sole obligation and the purchaser’s exclusive remedy shall be, at Taffard’s option, replacement of the material or credit of the purchase price of the affected goods. Labor, installation, removal, and consequential costs are not covered.
EXCEPT AS EXPRESSLY STATED HEREIN, TAFFARD DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, TO THE MAXIMUM EXTENT PERMITTED BY LAW.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TAFFARD SHALL NOT BE LIABLE FOR ANY LOSS, DAMAGE, COST, EXPENSE, OR CLAIM OF ANY KIND WHATSOEVER ARISING OUT OF OR RELATED TO THE SALE, DELIVERY, USE, OR NON-DELIVERY OF GOODS, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE OR STRICT LIABILITY), STATUTE, OR ANY OTHER LEGAL OR EQUITABLE THEORY.
Without limiting the foregoing, Taffard’s total liability for any approved claim shall in no event exceed the purchase price of the affected merchandise supplied by Taffard. IN NO EVENT SHALL TAFFARD BE LIABLE FOR FABRICATION CHARGES, INSTALLATION OR REMOVAL COSTS, TREATMENTS PERFORMED AFTER DELIVERY, REPLACEMENT LABOR, EXPEDITED FREIGHT, STORAGE, PENALTIES, LOST PROFITS, LOSS OF USE, PROJECT DELAYS, OR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. The purchaser acknowledges that Taffard’s pricing reflects this allocation of risk and that these limitations are an essential part of the agreement between the parties.
Intellectual Property
All Taffard designs, artwork, CADs, renderings, patterns, colorways, samples, and other proprietary materials are copyrighted and remain the sole property of Taffard or their respective rights holders. Unauthorized reproduction or use is prohibited. Custom development for a client does not transfer ownership or reproduction rights unless otherwise agreed in writing.
The purchaser shall indemnify, defend, and hold harmless Taffard from any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from any allegation that designs, patterns, artwork, specifications, or instructions provided or approved by the purchaser infringe the intellectual property rights of any third party.
Taxes & Resale Certificates
The purchaser is responsible for all applicable sales, use, and other taxes. Taffard is required to collect sales tax in jurisdictions where it is registered unless a valid resale or exemption certificate is on file. Purchasers claiming tax-exempt status must provide a current, valid certificate before shipment; Taffard does not warrant the validity of any certificate provided.
Website Use
All products and content on the Taffard website are provided “as is.” Taffard makes no warranties regarding website availability, or the accuracy or completeness of online content, pricing, or inventory. Color representations on the website may vary based on monitor settings and are not guaranteed to be accurate. Website content, images, and designs may not be reproduced, distributed, or used for commercial purposes without Taffard’s prior written permission. Use of this website is also subject to Taffard’s Privacy Policy.
Governing Law & Disputes
These Terms shall be governed by and construed in accordance with the laws of the State of New York, excluding its conflicts of law principles. The parties consent to exclusive jurisdiction and venue in the state and federal courts located in New York County, New York. In any action to enforce these Terms or collect amounts due, Taffard shall be entitled to recover its reasonable attorneys’ fees and costs.
General Provisions
These Terms, together with the applicable quotation, order acknowledgment, and invoice, constitute the entire agreement between the parties and supersede all prior agreements, correspondence, and understandings with respect to their subject matter. If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Taffard’s failure to enforce any provision shall not be construed as a waiver of that provision or any other. Taffard reserves the right to revise these Terms at any time without prior notice; orders are governed by the Terms in effect at the time the order is accepted.
